This Small Business Maintenance Contract ("Agreement") is entered into on April 25, 2026 by and between (Customer) located at and (Contractor) located at .

The Contractor agrees to provide the client with Small Business services ("Services") as described in the proposal attached. The contractor will perform the services in a workmanlike manner and following industry standards.

The maintenance contractor shall commence the Services on April 25, 2026 and shall complete them on or before May 2, 2026. The Contractor shall keep the Client informed of its progress and shall promptly notify the Client of any delays or changes to the schedule.

Maintenance Services

The contractor agrees to provide comprehensive Small Business maintenance services to Client as outlined below:

Routine InspectionsWe'll examine the entire system including key components and connections to identify any issues early on.
Leak Detection and RepairOur technicians will inspect all visible components for leaks. If any leaks are detected, we'll promptly repair or replace the affected parts to prevent further damage.
CleaningWe offer comprehensive cleaning services to ensure that ducts and other components are free from obstructions. Our specialized equipment will clear out dust, debris and buildup improving airflow and indoor air quality.
System Pressure CheckOur team will check the pressure levels within your system including refrigerant pressures and air pressure differentials ensuring optimal performance.
Equipment InspectionWe will inspect relevant equipment for signs of corrosion, leaks or inefficient operation addressing any issues promptly.
Schedule
1. Frequency of Services:

The Services outlined in this Maintenance Contract shall be provided quarterly, with four maintenance visits scheduled throughout the contract term.

2. Initial Maintenance Visit:

The initial maintenance visit shall occur within 30 days of the Effective Date of this Contract unless otherwise agreed upon by both parties.

3. Subsequent Maintenance Visits:

Maintenance visits shall be scheduled approximately every three months thereafter. Dates and times to be mutually agreed upon.

4. Flexibility:

Both parties acknowledge that unforeseen circumstances may arise that require adjustments to the scheduled maintenance visits. Rescheduling to be mutually agreed upon.

Payment Terms

The Client acknowledges and agrees to the payment terms outlined below for the maintenance services provided by the contractor.

1. Service Fee:

Client agrees to pay the contractor a fee for the maintenance services rendered under this contract. The service fee shall be calculated based on hourly rate, flat fee per visit, etc. and outlined in the attached pricing schedule or as mutually agreed upon by both parties.

2. Invoicing:

Company will invoice client for the services provided on a quarterly basis, following each maintenance visit. Invoices shall include a detailed breakdown of the services performed, the date of service, and the total amount due.

3. Payment Due Date:

Payment for each invoice is due within 30 days of the invoice date. Client shall ensure timely payment to avoid any late fees or penalties.

4. Late Payment:

In the event of late payment, Client shall be subject to a late fee of 5%. Late fees shall accrue on any unpaid balances from the date payment is due until the outstanding amount is paid in full.

Terms and Termination

Client and contractor agree to the following terms and conditions regarding the duration of the contract and procedures for termination:

1. Term of Contract:

The term of this contract shall commence on the effective date and shall continue for a period of 1 year unless terminated earlier as provided herein.

2. Renewal:

This contract may be renewed for additional terms upon mutual agreement of both parties. Any renewal terms shall be documented in writing and incorporated into the contract as an addendum.

3. Termination by Either Party:

Either party may terminate this contract upon 30 days written notice to the other party. Notice of termination shall be provided in writing and delivered by email.

4. Effect of Termination:

Upon termination of this contract, company shall cease providing maintenance services and client shall promptly settle any outstanding balances for services rendered up to the termination date.

5. Survival of Terms:

The termination of this contract shall not affect any rights or obligations that have accrued prior to termination, including but not limited to payment obligations, confidentiality provisions, and dispute resolution procedures, which shall survive termination and remain in full force and effect.
